These Terms of Service ("Terms") govern your access to and use of services provided by PowerChord, Inc. ("PowerChord," "we," "us," or "our"), including our websites, platforms, software, and related marketing and support services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms.

The Services may include:

Features and functionality may vary based on your subscription, service agreement, or configuration.

2. Accounts and Access

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

You agree to:

• Provide accurate and complete information

• Keep your account information up to date

• Notify us of any unauthorized access or use

3. Acceptable Use

You agree not to:

• Use the Services for unlawful purposes

• Interfere with or disrupt system performance

• Attempt to gain unauthorized access to systems or data

• Use the Services in a way that harms PowerChord or other users

4. Third-Party Platforms and Integrations

The Services may integrate with or rely on third-party platforms, including advertising networks, social media platforms, CRM systems, and analytics providers.

PowerChord does not control and is not responsible for:

• Availability or performance of third-party services

• Changes to third-party APIs or platform policies

• Actions taken by third-party platforms based on your data or content

Your use of third-party services is subject to their respective terms and policies.

5. Content and Data

You are responsible for all content and data you provide, upload, or distribute through the Services.

You agree that your content will not:

• Violate applicable laws or regulations

• Infringe intellectual property or privacy rights

• Contain misleading, deceptive, or harmful material

You grant PowerChord a limited license to use, process, and display your content solely for the purpose of providing the Services.

6. Service Availability

The Services are provided on an ongoing basis but are not guaranteed to be uninterrupted or error-free.

Service availability may be affected by:

• Scheduled maintenance

• Infrastructure or system issues

• Third-party service outages or changes

7. Intellectual Property

All rights, title, and interest in the Services, including software, systems, and proprietary materials, are owned by PowerChord or its licensors.

You are granted a limited, non-exclusive, non-transferable license to use the Services.

8. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind.

9. Limitation of Liability

To the maximum extent permitted by law, PowerChord shall not be liable for indirect, incidental, or consequential damages.

Total liability shall not exceed the greater of:

• Fees paid for the Services in the prior 12 months

• $100 USD

10. Indemnification

You agree to indemnify and hold harmless PowerChord from claims arising out of:

• Your use of the Services

• Your content or data

• Your violation of these Terms or applicable law

11. Termination

We may suspend or terminate your access to the Services if:

• You violate these Terms

• Required by third-party platforms

• We discontinue all or part of the Services

You may stop using the Services at any time.

12. Product-Specific Terms

Certain products or features may be subject to additional terms, including but not limited to SMS communications or platform-specific functionality.

In the event of a conflict, product-specific terms will control for that service.

13. Governing Law

These Terms are governed by the laws of the State of Florida.

14. Dispute Resolution

Disputes will be resolved through binding arbitration in Florida, except where otherwise required by law.

15. Changes to Terms

We may update these Terms from time to time. Continued use of the Services constitutes acceptance of the updated Terms.
